Company Secretary Job Description 

 

Primary Responsibility

To liaise with Companies House on the Company’s behalf. All companies are legally required to have a Secretary and a Registered Address. This address is usually the address of the secretary and should appear on all business correspondence. The name of the company should appear outside the registered address.

Companies House

  • The secretary is responsible for liaison with Companies House and is required to inform Companies House of:

        Appointment of new directors

        Resignation of directors

        Any changes in names, addresses or other details of directors.

  • The Secretary must send the Annual Return to Companies House at the end of October with a fee of £30. Failure to return this document on time is a criminal offence.
  • All correspondence with Companies House should be dealt with promptly.
  • The secretary is responsible for keeping all records of the company at the registered address. These should include: lists of the directors; copies of minutes of meetings; and any other documents relevant to the company. These should be available at the registered address for inspection.

Other duties

  • Other duties are: writing and presenting the Annual Report to the AGM; writing any letters; or acting on behalf of the company as required by the directors.
  • The Company Secretary is a member of the Guardian Angels team and is expected to attend the meetings. The role of Company Secretary is held for a minimum of two and a maximum of four years.
